THIS AGREEMENT GOVERNS YOUR USE OF Rector CRM OF ONLINE BUSINESS PRODUCTIVITY AND COLLABORATION SOFTWARE AND IS BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (HEREINAFTER "YOU" OR "Your") AND RECTOR SOLUTIONS.
The following terms and conditions (hence the "General Terms") and, if any, terms and conditions unique to the usage of particular Services (hereafter the "Service Specific Terms") make up this Agreement. The "Terms" refer to both the General Terms and the Service Specific Terms combined. The Service Specific Terms shall take precedence over the General Terms in the case of a conflict.
To accept the Terms, you must be of legal age to form a binding contract. Use none of our services if you don't accept the General Terms. Use the relevant Service only if you agree to the General Terms but not any Service Specific Terms. By checking a box or clicking a button that says you agree to the terms or by actually using the services, you can accept the conditions.
We retain the right to cancel user accounts that are underpaid and inactive for 120 days straight. Upon such termination, all information related to such user accounts will be erased. If we decide to terminate service, we will give you advance warning and the choice to back up your data. Any or all of the Services may be subject to the data deletion policy. For the purpose of determining the period of inactivity, each Service will be treated as a unique, independent service. To put it another way, using one of the Services does not guarantee that your user account with another Service will be active. In the event of accounts with several users, the account will not be regarded as inactive if at least one of the users is active.
The Rector Privacy Policy applies to any personal information you give Rector via the Service. You have chosen to accept the terms of the Rector Privacy Policy by choosing to use the Service. You are in charge of keeping your username, password, and other important information private.
To access or utilise the Services, you must register for a
user account by completing all necessary information. We
advise that you and every other user from your organisation
register for user accounts using your corporate contact
information if you are an organisation representative and
desire to use the Services for corporate internal purposes.
We advise you to use your company email address in
particular. In order to join up, you promise to: a) supply
true, accurate, current, and complete information about
yourself; and b) maintain and quickly update the information
you provided to keep it true, accurate, current, and
complete.
Rector has the right to delete your user account and refuse
any and all current or future use of the Services if you
provide any information that is untrue, inaccurate, out-ofdate, or incomplete, or if Rector has reasonable grounds to
suspect that such information is untrue, inaccurate, out-ofdate, or incomplete.
In addition to all other terms and conditions of this Agreement, you must not:
We offer a wide range of services for online management and collaboration, including word processors, spreadsheets, presentation tools, database application builders, email clients, chat clients, organisers, and applications for project management and customer relationship management ("Service" or "Services"). You are free to use the Services for both personal and professional purposes, as well as for internal business needs within the company you work for. Any Internet browser that the Services support can be used to connect to them. Access to the Internet and the tools required to utilise the Services must be obtained by you. With your user account, you can create and edit content and, if you so choose, publish and share it.
For the purposes of testing and evaluation, we might provide some Services as closed or open beta services ("Beta Service" or "Beta Services"). You acknowledge that we alone have the power to choose how long Beta Services will be tested and evaluated. The effectiveness of such testing and the choice, if any, to make the Beta Services available as paid services will only be determined by us. Your subscription to any Beta Created using Celtx Service will not obligate you to purchase a subscription in order to utilise any premium service. Any of the Beta Services may be completely or partially discontinued at any time and from time to time, temporarily or permanently, with or without prior notice to you. You acknowledge and agree that the modification, suspension, or discontinuation of any of the Beta Services for any reason will not subject Rector to any liability to you or to any third person.
We reserve the right to change the Terms at any time and without prior notice to you by emailing your primary email address or posting a notice on our website. You shall receive at least 30 days' notice through email at your main email address if we make material modifications to the Terms that affect your rights. If the Terms are updated in a way that materially affects your rights in connection with the use of the Services, you may stop using the Services by giving notice to Rector by email within 30 days of being told of their availability. You shall be entitled to a prorated refund of the unused portion of any prepaid fees in the case of such cancellation. Your continued use of the Service following the implementation of any change to the Terms will be taken as acceptance of the updated Terms.
Rector may send out newsletters, administrative messages, and service notifications, among other communications, through the Service. You are aware that utilising the Services will include these communications. You also have the choice not to receive our mailings as part of our commitment to maintaining your complete privacy. You won't be able to choose not to receive administrative and service announcements, nevertheless.
To illustrate the potential for using the Services efficiently for particular objectives, Rector may offer sample files and apps. Any such sample files and programmes only include random data as their content. Regarding the information's quality, usefulness, completeness, or dependability, as well as the sample files and applications, Rector makes no guarantees, either express or implied.
You can designate one or more administrators when you create
an account for your business. The administrators will have
the authority to manage end users in your company account and
customise the Services in accordance with your requirements.
If a third party registered and configured your
organisation's account on your behalf, it is likely that they
also took on the administrator role for your company. Make
sure you put into an appropriate contract with the third
party outlining their obligations and limitations as the
administrator of your organisation's account.
You are accountable for keeping your organisation account
password secure, ii) designating capable personnel to manage
your organisation account, and iii) making sure that any
actions taken in connection with your organisation account
are compliant with this Agreement. You are aware that Rector
does not handle your account management or internal
management of the Services.
You are in charge of making the necessary preparations to
make sure that your business maintains control over the
administrator accounts. Sending an email to
info@rectorsolutions.com will allow you to describe a
procedure to be followed for regaining control in the event
that the administrator accounts are lost, provided that
Rector accepts the procedure. Rector may provide control of
an administrator account to someone who can prove their
authority to operate on behalf of the organisation in a way
that is acceptable to the Rector in the absence of any
established administrator account recovery procedure. You
consent not to hold Rector accountable for the results of any
action Rector takes in this regard in good faith.
If we get a complaint from someone about something you did while using the Services, we'll send it to the main email address associated with your user account. Within 10 days of receiving the complaint that we forwarded to you, you must immediately respond to the complainant and include Rector in the letter. We may provide the complainant with your name and contact information in order for the complainant to pursue legal action against you if you do not respond to the complainant within 10 days of the date of our communication to you. You are aware that if you don't react to the complaint within the allotted 10 days, Rector will interpret that as your approval to give the complainant your name and contact information.
The Services are offered through subscription plans of
varying lengths. Only credit cards are accepted for
subscription plans with less than a year's duration. Unless
you reduce your paid membership plan to a free plan or let us
know that you do not want the subscription to renew, your
subscription will be automatically renewed at the end of each
subscription period. The subscription price will be charged
to the last Credit Card you used at the time of automatic
renewal. If you'd prefer to use a different Credit Card to
pay for the renewal, you have the option of changing the
details.
You must let us know if you do not want to renew the
subscription at least seven days before it is due. It will be
assumed that you have given Rector permission to charge the
monthly cost to the last Credit Card you used unless you have
dropped to a free plan and told us that you do not want to
renew the membership.
We reserve the right to sometimes alter the cost of any
Service or impose a fee for using Services that are now
provided without charge. Up to the end of your then-current
payment cycle, no charges will go up. Unless you have chosen
a premium service, you will not be charged for using any
Service.
You acknowledge that the content of any transmissions you make using the Services are completely your responsibility. You hereby agree not to use the Services for any unlawful activities or for the transmission of any unlawful, defamatory, harassing, libellous, abusive, threatening, harmful, vulgar, pornographic, obscene, or otherwise objectionable material, or for the transmission of any material that violates or may violate another's intellectual property or other rights, or that is vulgar, pornographic, obscene, or contains viruses or malicious code. You acknowledge that sending unsolicited bulk emails or sending "junk mail," "spam," "chain letters," or "phishing" over the Services is prohibited. If we have reason to think that you have used the Services in any way that is unlawful or prohibited, we retain the right to discontinue your access to the Services.
We honour your right to ownership over any content you produce or store. The stuff you produce or store is your property. Your use of the Services does not give Rector the right to utilise any content you submit or store in your user account for Rector's commercial, marketing, or other similar purposes unless you expressly give Rector permission to do so. You do, however, give Rector permission to access, copy, distribute, store, transmit, reformat, publicly display, and publicly perform the content of your user account as necessary to provide the Services to you.
You are allowed to share or publish content you have
produced, whether through one of the Services or another.
However, the repercussions of such content's transmission or
publication fall completely under your purview. Any content
that is made public on the internet is accessible to everyone
and is subject to crawling and indexing by search engines.
You are in charge of making sure that you don't
unintentionally reveal any sensitive information to the
public. You agree not to use, copy, reproduce, distribute,
transmit, broadcast, display, sell, licence, or otherwise
exploit any content that you may receive from other users of
the Services for any reason without the express written
consent of the person who owns the rights to such content.
Any content that you may receive from other users of the
Services is provided to you AS IS for your information and
personal use only. You agree not to remove any copyright
notices or disable any copy protection features if, while
using any of the Services, you come across any material
containing one or more of these features. By making any
copyrighted or copyrightable content available on any of the
Services, you certify that you have obtained the consent,
authorization, or permission, as appropriate, of any parties
who may have a claim to any intellectual property rights in
the content in question. Additionally, you expressly agree
that Rector has the right to prohibit access to or remove any
content you make available in the manner aforementioned if
the Rector receives complaints about any illegality or
violation of third-party rights in such content.
You expressly consent to the agent chosen by the Rector for
this purpose deciding any problems of legality or potential
violations of third parties rights in relation to any content
you transmit or publish using any of the Services.
For information on how to file a complaint alleging that
content published or transmitted through the Services is
unlawful or violates the rights of third parties
You can object to any content Rector blocks or removes by
following the instructions given.
Any disagreement or claim arising from or connected to the Terms shall be resolved by final and binding arbitration in accordance with the American Arbitration Association's commercial arbitration rules. Such a dispute or claim cannot be consolidated in any arbitration and must be arbitrated independently from any other party's dispute or claim. The arbitrator's decision shall be final and not subject to review. The arbitration must take place in California, and any court with jurisdiction over the matter may enter judgement on the arbitration award. Despite anything to the contrary, Rector is always free to ask any court with the necessary authority for injunctions or other types of equitable relief.
Rector, Rector logo, the names of different Services and their logos are trademarks of Rector Solutions. Without Rector's previous approval, you undertake not to publicly exhibit or utilise Rector Solutions in any way.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR SOLE RISK IS
ASSOCIATED WITH USING THE SERVICES. THE SERVICES ARE
DELIVERED AS IS AND AS AVAILABLE. INCLUDING, BUT NOT LIMITED
TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR
A PARTICULAR PURPOSE, Rector EXPRESSLY DISCLAIMS ALL
WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. Rector
DISCLAIMS ANY WARRANTY AS TO THE CONTINUITY, TIMELINESS,
SECURITY, OR ERROR-FREENESS OF THE SERVICES.
You are solely responsible for any damage to your computer
system, mobile phone, wireless device, or data that results
from using the services or downloading any such material. You
agree that use of any material downloaded or obtained through the use of the services shall be at your own discretion and
risk.
NO ORAL OR WRITTEN ADVICE OR INFORMATION YOU OBTAIN FROM
RECTOR, ITS EMPLOYEES, OR REPRESENTATIVES SHALL CREATE ANY
WARRANTY THAT IS NOT EXPRESSLY STATED IN THE TERMS.
In the event of any alleged criminal behaviour, protracted
periods of inactivity, or requests from law enforcement or
other governmental agencies, we may suspend your user account
or temporarily block access to all or a portion of the
Service. Within thirty days of being informed that a user's
account has been suspended or disabled, complaints should be
sent to info@rectorsolutions.com. After thirty days, we
reserve the right to close a suspended or disabled user
account. At your request, we will also close your user
account.
Additionally, we reserve the right to terminate your access
to any Beta Services in the event of unanticipated technical
difficulties or the discontinuation of the Beta Service, as
well, as to terminate your user account and refuse the
Services if we have a good faith belief that you have broken
the Terms. If Rector violates its duties under these Terms,
you have the right to terminate your user account. In this
case, you will be granted a prorated refund of any money you
have already paid. Denial of access to the Services, deletion
of information in your user account, including your email
address and password, and deletion of all data in your user
account are all included in the termination of a user
account.
YOU AGREE THAT RECTOR SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSE RECTOR'S TOTAL LIABILITY TO YOU FOR ANY SERVICE, WHETHER DIRECT OR INDIRECT, SHALL IN NO EVENT EXCEED THE FEES YOU PAID FOR SUCH SERVICE.
Except in cases where such use is authorised by Rector, you agree to defend, indemnify, and hold Rector, its officers, directors, employees, suppliers, and affiliates harmless from and against any losses, damages, fines, and expenses (including attorney's fees and costs) resulting from or connected with any allegations that you have used the Services in violation of the rights of any third party, the law, any provision of the Terms, or any other claim related to your use of the Services.
